Before you file: Delaware unless you can check both of these narrow boxes
Pick the entity that will not force a redomicile before your first raise.

The default matches your next raise
If your next raise is a priced VC round, the entity choice is constrained by standard documents. The alternative states are not the default for a pre-revenue startup that expects a priced institutional round.
That default exists because institutional investors still build their paperwork around one entity shape. VC-backed startups raising priced rounds still face term sheets and NVCA model documents, the standard venture paperwork, that require a Delaware C-corp. Those documents set the baseline that many funds expect before they sign.
The trend out of Delaware is real, but it is aimed at a different company. DoorDash, a large public delivery company, is changing its state of incorporation to Nevada. Its board gave a unanimous recommendation for the move. The company said Nevada offered a more predictable, statute-based legal setting that would better support its strategy. That is a mature public company making a deliberate choice, not a pre-revenue startup choosing its first entity.
The broader shift is measurable. By August 18, 2026, about 80 companies had filed to move their domicile out of Delaware since 2024, including 44 to Nevada and 28 to Texas. Delaware's share of U.S. Delaware's share of U.S. Those numbers matter, but they describe later-stage and public-company behavior, not the first raise.
Read those numbers as a trend, not as a choice list for your first entity. Your first raise is the opposite: it is the moment when the fund's standard documents have the most power over your entity choice.
For a pre-revenue founder, the question is not which state sounds better. It is whether your entity will survive the next institutional round without extra work. If you incorporate outside Delaware and then raise from institutional VC, you may need a redomicile or a clean-up that costs time and money. The cost includes more than a small administrative fee: the work of changing the state of incorporation of a company that already has a cap table, contracts, and investors.
The exception is narrow because the paperwork is standard
The documents are standard, so the exception is narrow. A founder can still choose another state, but the reason must survive a diligence question. 'I like the state' is not a reason. 'Our operating structure requires a particular state statute' is the kind of reason a lawyer can confirm.
DoorDash shows that a large public company can choose a different state of incorporation. That choice comes with a public shareholder base and a mature governance structure. A pre-revenue startup does not have that scale. It has a cap table that is still being built and a next round that is still being priced.
A redomicile is not just a form. It can require approvals, updated documents, and a clear explanation for the next investor. Some of that work is avoidable if you start in the state the next round requires.
Run these three checks before you file
- If your next raise is institutional VC, file a Delaware C-corp.
- Consider Nevada or Texas only if you can check both boxes: you are not raising institutional VC, and you have a concrete state-specific legal, tax, or operational reason confirmed by a startup lawyer.
- Before filing, ask your startup lawyer: 'Will this state of incorporation force a redomicile or complicate my next institutional VC round, and what will that cost?'
The first item is the default. The second item is the exception, and it is narrow enough that most pre-revenue founders will not clear it. The third item is the check that catches a bad answer early. If the answer is yes, stop and price the fix before you file.
Make the choice before the next round requires it
The cheapest time to fix an entity choice is before you file. The next cheapest time is before your first term sheet. The most expensive time is after you have signed something tied to a different state of incorporation. If you are pre-revenue, you still have time to change the entity before the next round requires a different one.
