Plan your first payout when the EIN takes weeks

A practical timeline for first-time founders: formation, tax ID wait, pre-ID payout cap, and the first safe payout date.

Start the clock on formation day

You are about to incorporate, and you need to know when you can move money. The company can exist before the tax ID does. That gap is where founders get surprised. The certificate proves the company exists. It does not prove the EIN has arrived.

Stripe Atlas, a startup incorporation service, charges a one-time $500 fee that covers Delaware incorporation, state fees, and first-year registered agent service, then charges $100 annually for registered agent maintenance. A Delaware company formed with Stripe Atlas is typically formed within 1-2 business days. When the filing lands, the legal entity is real, but the EIN may still be pending. Without a US Social Security number, the EIN can take 15-50 business days after incorporation.

Open a note before you file. Write down the incorporation date the day you see it. Do not wait for the certificate to arrive by mail. That date is the reference point for the EIN window. The first customer can arrive before the tax ID does. Normal. The mistake is treating the certificate as the end of the process. It is the start of the paperwork. Put the note where you can find it when the first invoice lands.

Atlas files the 83(b) election, a tax filing for founders, for each C corporation founder automatically, normally within 10 business days after the share purchase, using USPS Certified Mail with tracking. Track it. Founder intellectual property contributions are valued at a standard $100 fair market value. These steps lock in the tax paperwork, not the payout clock. They also give you a record of what was filed and when.

The EIN date controls your payout plan

With a US company address, US company phone number, and a US Social Security number, the Atlas EIN window is 1-15 business days. The missing US Social Security number is the main variable.

Do not build a payroll plan around the certificate. Build it around the expected EIN date. The certificate is a legal fact. The EIN date is a cash-flow fact. If the wait is long, the pre-EIN payout cap is your backup. Use it to keep the business moving while the EIN is pending.

Before the EIN is issued, Stripe permits Atlas companies to move up to $100,000 in payouts after the initial payout waiting period. Keep that cap in the same note as the dates. It lets you collect early revenue without waiting for the tax ID, but it is capped.

Keep four dates in the same note.

  • Incorporation date: the day the Delaware company is formed.
  • Expected EIN date: the end of the Atlas EIN window.
  • Pre-EIN payout cap: the amount Stripe permits before the EIN is issued.
  • First safe payout date: the day the EIN is issued.

Use the pre-EIN cap until the number lands

If you are outside the US, the direct IRS option is worth knowing. A person whose main business location is outside the U.S. can request an EIN by calling 267-941-1099 Monday through Friday from 6 a.m. to 11 p.m. Eastern time, or by filing Form SS-4. Eastern time, or by submitting Form SS-4. Keep the hours handy. Only one EIN application is allowed per day, whether online, by phone, mail, or fax. If you are applying directly, you can get a free EIN in minutes.

If a deposit is due before the EIN is issued, send the payment to the service center for your state, with the check or money order made out to the Internal Revenue Service and listing the name, address, tax type, period, and application date. Use it only when needed. If a tax return is due before the EIN arrives, write Applied For and the application date in the EIN number space. Those are fallback moves, not the plan. They exist for the time when a deadline lands before the number does. Keep the fallback instructions near the tax calendar, not buried in email.

An EIN can be used immediately for most business needs. Once the number lands, the fallback moves stop being necessary. If a deadline still feels risky, decide whether to wait, use the pre-EIN cap, or bring in a lawyer.
